Corporation

Advantages

  1. Limited liability
  2. Specialized management
  3. Ownership is transferable
  4. Continuous existence
  5. Legal entity
  6. Possible tax advantages
  7. Easier to raise capital.

Disadvantages

  1. Closely regulated
  2. Most expensive form to organize
  3. Charter restrictions
  4. Extensive record keeping necessary
  5. Tax rules can be more complex.
